End-User License Agreement (EULA)

This End-User License Agreement ("EULA" or "Agreement") is a legally binding contract between you ("End User" or "You") and ISLA Services LLC, a registered company in New Mexico, located at 8206 Louisiana Boulevard NE Suit A, Albuquerque, NM 87113 ("Licensor").

This Agreement governs your use of the licensed application ("Application" or "Software"). By downloading, installing, or using the Application, you signify your acceptance of and agreement to be bound by all the terms and conditions set forth in this EULA.

1. THE APPLICATION AND FUNCTIONAL TRANSPARENCY

The Application is a software tool designed to assist interpreters and other professionals in tracking the duration of their calls ("call logger"). It can be operated in either automatic or manual mode.

To achieve automatic call detection, the Application captures a predefined area of the user's screen. This image is processed exclusively in the device's volatile memory (RAM) using Optical Character Recognition (OCR) or image template matching to determine if a call is active.

It is critically important to understand that these screen captures are processed instantaneously and are immediately and permanently discarded after analysis. At no point are these images or any derivative data saved to the local disk or transmitted to any external server. This process is designed to be fully compliant with the privacy needs of professionals.

2. PRIVACY AND DATA OWNERSHIP

2.1. Privacy Policy

Your privacy is of the utmost importance to us. Our collection and use of personal information in connection with the Application are described in our Privacy Policy. By accepting this EULA, you also agree to the terms of our Privacy Policy, which is incorporated herein by reference. You can review the policy at: www.islaservices.com/privacy.

2.2. User Data Ownership

You retain full ownership of all call logs and any other data generated by you through your use of the Application ("User Data"). This Agreement does not grant the Licensor any rights to your User Data, except for the limited rights required to provide the Application's services to you.

3. SUBSCRIPTION, PAYMENT, AND RENEWAL TERMS

3.1. Subscription Model

The license to use all features of the Application is granted on an annual subscription basis. The license is valid only while your subscription is active and paid.

3.2. Subscription Fee

The subscription cost is eleven dollars and ninety-nine cents ($11.99) per year, plus any applicable taxes.

3.3. Automatic Renewal

To ensure uninterrupted service, your subscription will automatically renew for successive one-year periods unless you cancel it prior to the renewal date. You will be notified via email to your registered address at least thirty (30) days before the renewal date.

3.4. Payment Authorization

You authorize ISLA Services LLC or its designated third-party payment processor to charge your selected payment method for the recurring annual subscription fee.

3.5. Cancellation Policy

You may cancel your subscription at any time. The cancellation will take effect at the end of the current paid subscription period. No refunds or credits will be provided for partial subscription periods, except as expressly stated in Section 8.5.

3.6. Lapsed Subscription

If a subscription payment fails, the Application may cease to function or revert to a limited functionality mode until a valid subscription is reactivated.

3.7. Price Changes

We reserve the right to modify the subscription price. Any price changes will be communicated to you at least sixty (60) days before they take effect.

4. SCOPE OF LICENSE AND ACCEPTABLE USE

4.1. License Grant

You are granted a non-transferable, non-exclusive, non-sublicensable license to install and use the Application on any Device that You own or control.

4.2. Restrictions

You may not distribute or make the Application available to third parties, sell, rent, lease, or redistribute the Application. You may not reverse engineer, decompile, or attempt to derive the source code of the Application.

4.3. Acceptable Use Policy

You agree not to use the Application for any purpose that is illegal, infringes on the rights of others, or could harm the Application or its users. Prohibited actions include, but are not limited to, introducing malware, interfering with the service's integrity, or using the Application to violate any applicable laws or regulations.

5. INTELLECTUAL PROPERTY RIGHTS

ISLA Services LLC and the End User acknowledge that, in the event of any third-party claim that the Application infringes that third party's intellectual property rights, ISLA Services LLC shall be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

6. TECHNICAL REQUIREMENTS AND COMPATIBILITY

The Application is designed for Microsoft Windows 10 and Microsoft Windows 11. While the Licensor will make commercially reasonable efforts to maintain compatibility with future updates, it is not guaranteed.

7. MAINTENANCE AND SUPPORT

The Licensor is not obligated to provide general maintenance or technical support. However, the Licensor is obligated to address Material Defects in the Application as specified under the terms of the Warranty in Section 8 of this Agreement.

8. WARRANTY AND LIMITATIONS

8.1. Limited Warranty

The Licensor warrants that the Application is free of malware at the time of download. During an active subscription, the Licensor warrants that the Application will perform the basic functions of manual call logging and data management substantially as described in its official documentation ("Guaranteed Functionality").

8.2. Disclaimer for Automatic Detection

You acknowledge that the automatic call detection feature is dependent on the user interfaces of third-party platforms (e.g., Propio, Globo). If these platforms modify their design, layout, or technology, the automatic detection feature may be disrupted or cease to function. The Licensor does not warrant the continuous, uninterrupted, or error-free operation of the automatic detection feature, and you agree that its potential failure due to third-party changes does not constitute a breach of warranty.

8.3. Exclusions

No warranty is provided if the Application has been modified, handled inappropriately, or used with unsupported hardware or software.

8.4. Defect Claim Process

If You discover a defect that prevents the Guaranteed Functionality ("Material Defect"), you must notify ISLA Services LLC in writing. The Licensor will then have a commercially reasonable time to remedy such Material Defect.

8.5. Final Remedy and Refund

A refund will only be considered if the Licensor fails to resolve the Material Defect within sixty (60) days of notification. In such an event, your sole and exclusive remedy will be a prorated refund for the remaining unused time of your annual subscription.

9. DATA ACCURACY AND RELIABILITY DISCLAIMER

9.1. "AS IS" REGARDING DATA

WHILE THE GUARANTEED FUNCTIONALITY OF THE APPLICATION IS WARRANTED UNDER SECTION 8, THE DATA AND INFORMATION GENERATED BY THE APPLICATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. The Licensor does not warrant that the data generated is accurate, complete, reliable, or error-free.

9.2. User's Responsibility for Verification

THE FINAL AND NON-DELEGABLE RESPONSIBILITY TO VERIFY AND VALIDATE THE ACCURACY OF ALL INFORMATION GENERATED BY THE APPLICATION RESTS WITH YOU. The Application should be considered a support tool and not a sole or infallible source of information for billing or financial decisions.

9.3. Exclusion of Damages from Data Reliance

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM RELIANCE ON THE INFORMATION GENERATED BY THE APPLICATION.

10. LIMITATION OF LIABILITY

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE APPLICATION.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ISLA Services LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your breach of this EULA or your misuse of the Application.

12. PRODUCT CLAIMS

ISLA Services LLC is responsible for addressing any claims by the End User relating to the Application, including: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation, subject to the disclaimers and limitations in this Agreement.

13. LEGAL COMPLIANCE

You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited parties.

15. TERMINATION

Your rights under this license will terminate automatically if you fail to comply with any of its terms. Upon termination, you shall cease all use of the Application and destroy all copies.

16. THIRD-PARTY TERMS AND BENEFICIARIES

ISLA Services LLC represents and warrants that it will comply with applicable third-party terms of agreement when using the Application.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1. Governing Law

This Agreement shall be governed by the laws of the State of New Mexico, without regard to its conflict of law principles.

17.2. Jurisdiction and Venue

Any legal suit, action, or proceeding arising out of this EULA shall be instituted exclusively in the federal or state courts located in the State of New Mexico.

17.3. Mandatory Arbitration

You agree that any dispute or claim, other than claims seeking injunctive relief or relating to intellectual property infringement, shall be resolved by binding arbitration. The arbitration shall be conducted in New Mexico, in accordance with the rules of the American Arbitration Association. YOU UNDERSTAND THAT BY AGREEING TO THIS, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL.

18. MISCELLANEOUS PROVISIONS

18.1. Severability

If any provision of this agreement is held to be invalid, the remaining provisions shall remain in full force and effect.

18.2. Entire Agreement

This EULA constitutes the entire agreement between you and ISLA Services LLC and supersedes all prior understandings.

18.3. Modification of this Agreement

The Licensor reserves the right to modify this EULA at any time. We will provide you with at least thirty (30) days' notice of any material changes, either via email or through a notification within the Application. Your continued use of the Application after such notice will constitute your acceptance of the new terms.
